Program Details & Terms
By enrolling in the Explorer Pass, you acknowledge and agree to the following terms and conditions:
1. Nature of Program
The Explorer Pass is a complimentary, non-paid access tier provided by NAP Private Equity
Club (“NAP”) for informational and introductory purposes only. Explorer Pass does not constitute
membership in any investment program, fund, or offering.
2. Scope of Access
Explorer Pass provides limited access to general content, communications, webinars, and event
invitations, subject to availability. NAP reserves the right to modify, restrict, or discontinue
access to any content, feature, or communication at any time without notice.
3. No Investment Access or Rights
Explorer Pass does not grant access to investment opportunities, deal flow, allocations, or
participation rights. Any access to investments, if offered, will be subject to separate
agreements, offering documents, and investor qualification requirements, including but not
limited to accredited investor status where applicable.
4. No Advisory Relationship
Participation in Explorer Pass does not create any advisory, fiduciary, or client relationship
between the participant and NAP. All content, communications, and materials are provided for
informational and educational purposes only and should not be construed as financial, legal,
tax, or investment advice
5. No Offer or Solicitation
Nothing within Explorer Pass constitutes an offer to sell or a solicitation of an offer to buy any
security or investment product. Any such offer will be made only through formal offering
materials in accordance with applicable securities laws.
6. Risk Disclosure
All investments involve substantial risk, including but not limited to loss of principal, lack of
liquidity, and market volatility. Past performance is not indicative of future results. Participants
acknowledge that they are solely responsible for conducting their own independent due
diligence.
7. Third-Party Content and Resources
NAP may provide references or introductions to third-party vendors, service providers, or
professionals. NAP makes no representations or warranties regarding the performance,
reliability, or outcomes of any third party and assumes no liability for their actions.
8. Communications Consent
By enrolling, you consent to receive electronic communications from NAP, including emails
related to content, events, and general updates. You may opt out of non-essential
communications at any time in accordance with applicable laws.
9. Good Standing and Conduct
NAP reserves the right to suspend, restrict, or terminate access to Explorer Pass at its sole
discretion for any reason, including but not limited to misuse of the platform, inappropriate
conduct, or violation of these terms.
10. Limitation of Liability
To the fullest extent permitted by law, NAP shall not be liable for any direct, indirect, incidental,
consequential, or special damages arising out of or related to participation in the Explorer Pass
or reliance on any information provided.
11. Modifications to Terms
NAP reserves the right to update or modify these terms at any time. Continued participation in
the Explorer Pass constitutes acceptance of any revised terms.
12. Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of
California, without regard to conflict of law principles.
13. Entire Agreement
These terms constitute the entire agreement with respect to the Explorer Pass and supersede
any prior communications or understandings related to this program.
