Program Details & Terms
By enrolling in the Buyers Club, you acknowledge and agree to the following terms and
conditions:
Buyers Club is the highest access tier within the NAP Private Equity Club (“NAP”) ecosystem,
designed for active, capital-ready investors seeking priority access to deal flow, strategic
alignment, and execution opportunities.
Buyers Club does not constitute a partnership, joint venture, or ownership interest in any
specific investment or entity unless otherwise defined in separate agreements.
Buyers Club requires a one-time initiation fee of $10,000, which includes the first year of
access and associated platform benefits.
After the first year, membership continues at $175 per month to maintain access to inventory,
systems, and ongoing support.
All fees are final and non-refundable.
All payments made to NAP for Buyers Club are non-refundable, including but not limited to:
● Membership initiation fees
● Monthly subscription fees
● Event or program-related fees
No refunds, credits, or prorated reimbursements will be issued for:
● Lack of participation
● Market conditions or deal flow variability
● Personal or financial circumstances
● Dissatisfaction or unmet expectations
Buyers Club members receive Level 1 Trade Desk Access, including:
● Priority access to inventory
● Visibility into opportunities a minimum of one (1) week prior to general release
● Early positioning on select trades and opportunities
All inventory is subject to availability and may change without notice.
Buyers Club members may receive First Right of Refusal on select opportunities and trades.
This right is subject to timing, availability, sponsor requirements, and deal structure.
NAP does not guarantee access to any specific opportunity.
Deal flow is inherently unpredictable and influenced by market conditions, sourcing channels,
and third-party relationships.
NAP does not guarantee the frequency, timing, or volume of opportunities presented.
Buyers Club members may be presented with passive investment opportunities, including but
not limited to SPVs, pooled investments, and Reg D offerings.
Participation in such opportunities is not guaranteed and is subject to separate offering
documents and investor qualification requirements.
Separate fees may apply for asset management services related to passive income portfolios.
These fees typically range between 2% and 6%, depending on the structure, asset type, and
level of management required.
All applicable fees will be disclosed in the specific offering or agreement.

Offers submitted outside of this channel may not be reviewed or considered valid.
NAP reserves the right to determine the validity, timing, and acceptance of all offers.
Buyers Club is intended for accredited investors only where applicable.
By participating in investment opportunities, you represent and warrant that:
● You meet the qualifications of an accredited investor under applicable securities laws
● You are capable of evaluating complex investment opportunities
● You understand the risks associated with private placements and alternative investments
You acknowledge that you are a financially sophisticated investor making independent
decisions regarding capital deployment.
You further acknowledge that:
● You are responsible for your own due diligence and analysis
● You are not relying on NAP to make decisions on your behalf
● You may consult with licensed advisors as needed
You agree to:
● Assume full responsibility for all investment decisions
● Conduct your own independent due diligence
● Accept all risks associated with participation
You agree to hold NAP harmless from any claims, losses, or damages arising from:
● Investment decisions or outcomes
● Participation in Buyers Club or related opportunities
● Your level of experience or understanding
NAP does not act as a financial advisor, fiduciary, or portfolio manager.
All communications are for informational purposes only and should not be considered
financial, legal, or tax advice.
All investments involve risk, including but not limited to:
● Loss of principal
● Illiquidity
● Market volatility
Nothing within Buyers Club constitutes an offer or solicitation.
All opportunities are subject to formal offering documents and investor verification.
NAP may introduce members to third-party operators, sponsors, or vendors.
NAP assumes no liability for third-party performance, actions, or outcomes.
Members must maintain active status and professional conduct.
NAP reserves the right to suspend or terminate access at its discretion.
You consent to receive electronic communications related to opportunities, updates, and
program activity.
To the fullest extent permitted by law, NAP shall not be liable for any direct, indirect,
incidental, or consequential damages.
NAP reserves the right to update or modify these terms at any time.
These terms are governed by the laws of the State of California.
These terms constitute the entire agreement related to Buyers Club participation.
All features, benefits, and access are subject to change without notice.
Buyers Club is a participation-based environment.
Members are expected to be responsive, engaged, and prepared to act when opportunities
are presented.
This is not a passive or hands-off membership.
