Program Details & Terms
By enrolling in the Premium Membership, you acknowledge and agree to the following
terms and conditions:
1. Nature of Program
Premium Membership is a paid access tier within the NAP Private Equity Club (“NAP”)
ecosystem, designed to provide education, structured training, and guided support.
Premium Membership does not constitute a partnership, joint venture, or ownership interest in
any investment or entity.
2. Membership Fees & Payment Terms
Premium Membership requires a one-time initiation and onboarding fee of $4,000, which
includes the first year of access and associated platform fees.
After the first year, membership continues at $175 per month for ongoing access.
All fees are non-refundable. By enrolling, you acknowledge that you are purchasing access to
a program, resources, and community—not guaranteed outcomes.
3. No Refund Policy
All payments made to NAP for Premium Membership are final and non-refundable, including
but not limited to:
● Initiation and onboarding fees
● Monthly membership fees
● Event-related payments or add-ons
No refunds, credits, or prorated reimbursements will be issued for:
● Lack of participation
● Change in personal circumstances
● Perceived dissatisfaction
● Failure to utilize membership benefits

4. Scope of Access
Premium Members receive Level 2 Trade Desk Access, including visibility into curated
inventory and opportunities.
Access includes structured training sessions, educational materials, and limited executive
engagement, subject to availability.
All benefits are subject to change at NAP’s discretion.
5. Deal Flow & Opportunity Frequency
Deal flow is inherently unpredictable and may vary based on market conditions, inventory
availability, and third-party factors.
NAP does not guarantee the frequency, timing, or volume of opportunities presented.
6. Offer Submission & Validity

7. Educational & Training Services
Premium Membership includes structured educational sessions and access to training
materials.
Results are not guaranteed, and members are responsible for applying information at their

Executive sessions and check-ins are provided based on availability and may be modified at
any time.
9. Event Discounts & Member Benefits
Premium Membership may include discounted access to select events, where applicable.
Discounts are not guaranteed and may vary.
10. No Guarantee of Deal Access or Results
Membership provides exposure, not guaranteed participation or returns.
11. Investor Responsibility & Self-Certification
You are responsible for your own decisions, due diligence, and outcomes.
12. Hold Harmless & Responsibility Acknowledgment
You agree to hold NAP harmless from any claims related to your participation or decisions.
13. No Advisory or Fiduciary Relationship
NAP does not provide financial, legal, or investment advice.
14. Investment & Risk Disclosure
All investments involve risk, including loss of capital.
15. Third-Party Resources
NAP is not responsible for third-party performance or outcomes
16. Good Standing Requirement
Membership requires active, professional participation and timely payment
17. Communications Consent
You consent to receive program-related communications.
18. Limitation of Liability
NAP is not liable for any damages or losses arising from participation
19. Modifications to Terms
Terms may be updated at any time.
20. Governing Law
Governed by the State of California.

Premium Membership requires active participation and is not a passive service
